Terms and Conditions

Applies to the LawCommand Suite: the LawCommand, LawNote, LawDrop, LawDrive, LawTrialBinder and LawArchive web and iOS apps.

1. Agreement and operator

These Terms and Conditions ("Terms") govern access to and use of the LawCommand application and associated services that link to these Terms (collectively, the "Service").

The Service is operated by Alejandro Barreto d/b/a Valley Edge Digital ("LawCommand," "we," "us," or "our").

By affirmatively accepting these Terms, creating an account after being presented with these Terms, or otherwise agreeing to them, you enter into an agreement with us. If you do not agree, do not use the Service.

If you accept these Terms for a law firm, business, or other organization, you represent that you have authority to bind that organization. References to "you" include that organization where applicable.

2. Eligibility, organization accounts, and authorized users

The Service is a workplace tool for law offices. It is licensed to the firm, business, or other organization that holds the account (the "Organization"), and the Organization is the party that accepts these Terms.

The individual who accepts these Terms on behalf of an Organization must be at least 18 years old and legally capable of entering into this agreement, and must have authority to bind the Organization.

Authorized users must be at least 16 years old. An Organization may grant access to its personnel who are 16 or older, including lawfully employed minors. A user under 18 may use the Service only as an authorized user under an Organization account, may not open an individual account, and may not accept these Terms on behalf of an Organization. The Organization accepts these Terms on such a user's behalf and remains responsible for that user's access and use.

The Organization is responsible for its authorized users' compliance with these Terms, for supervising their use of the Service consistent with applicable law and professional obligations, and for complying with any employment, child-labor, and confidentiality rules that apply to minors it employs.

You agree to provide accurate account information, protect your login credentials, and promptly notify us of suspected unauthorized access. You may not use another person's account without authorization or share credentials to bypass account or subscription limits.

If your account is provided through an Organization, its authorized administrators may manage your access, permissions, and organization-controlled information. Your access may end when your relationship with that Organization ends.

3. Service scope

LawCommand provides tools to support legal-office organization and workflows. Depending on your subscription, permissions, and the features available in your version, these may include calendars, court settings, hearings, case information, scheduling conflicts, notes, team coordination, document exports, and related functions.

References to a feature in these Terms do not mean that the feature is included in every plan or application. Connected products, including LawText where available, may have additional terms.

We may update the Service over time. If we materially reduce paid functionality or discontinue the Service, we will provide reasonable advance notice where practicable and any remedies required by applicable law or your written subscription agreement.

4. No legal advice or court affiliation

LawCommand provides software, not legal representation or legal advice. Using the Service does not create an attorney-client relationship with us.

Unless expressly identified otherwise, LawCommand is not affiliated with or endorsed by a court, clerk's office, government agency, or bar association.

You remain responsible for legal decisions, professional judgment, supervision, ethical obligations, and compliance with applicable court rules.

5. Court dates, deadlines, conflicts, and exports

You are responsible for independently verifying hearing dates, court settings, filing deadlines, assignments, and other time-sensitive information against authoritative sources, including court orders and official notices.

Reminders, notifications, synchronization, and scheduling-conflict tools may be affected by inaccurate entries, device settings, connectivity, third-party services, or technical errors. A scheduling-conflict alert does not constitute a professional conflicts-of-interest clearance.

Maintain appropriate backup calendaring and verification procedures. Review exported documents and PDFs for accuracy and completeness before filing, sending, or relying on them.

Entering information in LawCommand does not itself file a document with a court, serve a party, or notify a client unless a specific feature expressly performs that action and successful completion is confirmed.

6. Client information and professional responsibilities

You may upload or enter information only when you have the necessary rights, authority, and permissions.

You are responsible for determining whether use of the Service is appropriate for particular client information, privileged materials, sealed records, protective orders, or other restricted content.

You must configure sharing and access permissions appropriately, review authorized users, and remove access when it is no longer justified.

These Terms do not determine whether information is privileged or whether uploading or sharing it preserves any privilege. They do not reduce our applicable legal or contractual responsibilities regarding the information we process.

7. Your content and our permission to process it

As between you and LawCommand, you or the applicable rights holders retain ownership of the information, documents, notes, messages, and other materials submitted to the Service ("Your Content").

You grant us a limited, nonexclusive license to host, store, process, transmit, and display Your Content as necessary to operate the Service, provide requested support, protect the Service, and comply with law. We may engage service providers for these purposes subject to applicable confidentiality and data-protection obligations.

This permission does not transfer ownership of Your Content or authorize its unrelated use in advertising.

The permission continues only as necessary to provide the Service and carry out lawful retention, backup, and deletion processes described in our Privacy Policy or a separate applicable agreement.

8. Privacy

Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information.

Where we enter into a separate data-processing or confidentiality agreement with your Organization, that agreement governs its subject matter and controls over conflicting provisions of these Terms.

You are responsible for notices and permissions required for information you submit about other people. Acceptance of these Terms does not replace any separate consent required by law.

9. Acceptable use

You may not:

10. Messaging and connected services

If you use messaging features, including LawText where available, you are responsible for confirming recipients, obtaining required permissions, and honoring applicable opt-out requests.

Message delivery and timing are not guaranteed. Carrier charges or usage fees may apply when disclosed in your plan. Messaging features are not emergency services.

Third-party integrations may require separate accounts and acceptance of their terms. You must comply with those terms when using the integrations. Their availability and operation may affect connected features.

11. Subscriptions, payments, and cancellation

Paid features require the subscription or purchase described at checkout or in your Organization's written order. Applicable prices, billing periods, usage limits, taxes, trial terms, and renewal conditions will be disclosed before purchase.

Where you expressly select an automatically renewing subscription, it renews for successive billing periods unless canceled under the terms disclosed at purchase. Any price changes will be communicated in advance as required by law and the applicable payment platform.

For subscriptions purchased through Apple, billing, renewal, cancellation, and refund requests are handled through your Apple account and Apple's applicable procedures. For subscriptions purchased directly from us, contact support@lawcommand.io to cancel.

Deleting the app does not cancel a subscription. Account deletion and subscription cancellation are separate actions; ensure your subscription is canceled through the applicable billing provider.

Cancellation generally takes effect at the end of the paid billing period, subject to the purchase terms and applicable law. Refunds are governed by applicable law, the billing platform's policies, and any express refund terms presented at purchase. Nothing here limits mandatory refund rights.

12. Suspension, termination, and data access

You may stop using the Service at any time.

We may restrict or suspend access where reasonably necessary to address a material violation of these Terms, overdue payments, a security threat, or a legal requirement. When reasonably practicable, we will explain the issue and provide an opportunity to resolve it.

You may request account deletion by contacting support@lawcommand.io. We will action verified requests promptly.

Deleting an individual account does not necessarily delete organization-controlled records that the Organization is entitled or required to retain. We process deletion requests and any continuing retention in accordance with applicable law, our Privacy Policy, and applicable organizational agreements.

Export records you need before closing your account. Following termination, retention and deletion are governed by those same policies and agreements. We will provide any data access or portability required by law.

13. Intellectual property

LawCommand and its licensors retain ownership of the Service's software, design, branding, and other proprietary materials, excluding Your Content.

Subject to these Terms and your applicable plan, you may access the Service for your authorized personal or organizational use. No additional intellectual property rights are transferred to you.

14. Apple application license

For the LawCommand application obtained through Apple's App Store, the application license is governed by Apple's Standard End User License Agreement: apple.com/legal/internet-services/itunes/dev/stdeula.

These Terms govern the associated LawCommand service and do not replace that application license. If a conflict concerns the application license or Apple's rights under it, Apple's Standard EULA controls.

15. Warranties and availability

We will provide the Service with reasonable care and skill.

Except for express commitments in these Terms or a separate written agreement, and to the extent permitted by law, the Service is provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, and noninfringement to the extent those warranties may lawfully be disclaimed.

We do not guarantee uninterrupted operation, error-free information, or that every notification or integration will function without delay. Nothing here excludes mandatory warranties or statutory service standards.

16. Limitation of liability

To the fullest extent permitted by law, neither party will be liable under these Terms for indirect, incidental, special, consequential, or punitive damages.

Our total liability arising from the Service or these Terms will not exceed the greater of US $100 or the fees paid or payable by you or your Organization for the affected Service during the 12 months preceding the event giving rise to the claim.

These limitations do not apply to fraud, willful misconduct, gross negligence, or any liability that cannot lawfully be excluded or limited. They do not restrict mandatory consumer rights or remedies.

17. Governing law and disputes

These Terms are governed by the laws of the State of Texas, United States, excluding conflict-of-laws rules.

Subject to any mandatory rights to bring proceedings elsewhere, disputes will be heard in courts with appropriate jurisdiction in Starr County, Texas, United States.

Either party may contact the other to attempt an informal resolution before filing a claim. This does not prevent urgent relief or restrict statutory remedies.

18. Changes to these Terms

We may revise these Terms and update the "Last updated" date. We will provide reasonable notice of material changes through the Service, email, or another appropriate method, and obtain renewed acceptance where required.

Changes will apply prospectively. If you do not agree to revised Terms, you may stop using the Service and cancel your subscription, subject to applicable refund rights.

19. General provisions

These Terms and any applicable order, data-processing agreement, or separately accepted terms form the agreement governing their respective subject matter. A separately signed organizational agreement controls where it expressly conflicts with these Terms.

If a provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision does not waive the right to enforce it later.

Provisions that by their nature should survive termination — including ownership, accrued payment obligations, applicable liability limitations, and dispute provisions — will survive.
